Authorised User Agreement

This Authorised User Agreement (this “Agreement”) is between you and Univa Health Ltd, a company incorporated in England and Wales (Company No. 15541979), whose registered office is at 303 Goring Road, Goring-by-Sea, Worthing, West Sussex BN12 4NX (“Univa”, “we”, “us”). It sets out the terms on which you may access and use the clinician dashboard of the Univa Care Platform (the “Dashboard”).
You have been given access to the Dashboard because you work for, or provide services to, a healthcare or care organisation that has a contract with Univa for the Univa Care Platform (your “Organisation”). That contract governs the relationship between Univa and your Organisation; this Agreement governs your own use of the Dashboard as a member of your Organisation’s staff (an “Authorised User”). You accept this Agreement when you first log into the Dashboard. Please read it carefully.
1. Your account
1.1 Your account is set up in connection with your role at your Organisation and is personal to you. You must provide accurate information and keep it up to date. You log in using your password together with a one-time passcode sent by the Univa Care Platform to your work email address at your Organisation, as part of two-factor authentication. You must keep your password confidential, must not share your password or any passcode with anyone or allow anyone else to log in using your credentials or your work email account, and must not access the Dashboard using anyone else’s account, password or passcode.
1.2 Tell us at support@univa.health, and your Organisation, promptly if you think someone else has accessed your account or your work email account, knows your password, or has received or used a passcode intended for you.
1.3 Your access may be created, changed, suspended or removed at your Organisation’s request. Because the two-factor authentication passcodes needed to log in are sent only to your work email address, your access ends automatically when you stop working for your Organisation and no longer have access to that email account, and in any event when your Organisation’s contract with Univa ends.
2. Using the Dashboard
2.1 We grant you a personal, non-transferable right to access and use the Dashboard solely: (a) as part of your work for your Organisation; (b) for the purpose of providing or supporting care to the patients, service users and carers your Organisation supports through the Univa Care Platform (“Participants”); and (c) in accordance with this Agreement, your Organisation’s instructions and policies, and applicable law and professional standards.
2.2 You must not: (a) copy, modify, reverse engineer or attempt to extract the source code of the Dashboard or the Univa Care Platform; (b) sell, rent or make the Dashboard available to anyone else; (c) upload anything unlawful, harmful or infringing, or any virus or malicious code; (d) attempt to gain unauthorised access to the Dashboard, other accounts, or Univa’s systems; (e) use the Dashboard to build, or help anyone else build, a competing product or service; or (f) use the Dashboard for any purpose unrelated to your work for your Organisation.
2.3 We may monitor and log use of the Dashboard for security, audit, compliance and service-improvement purposes.
3. Patient and carer information
3.1 The Dashboard gives you access to personal information about Participants, which may include sensitive health information. You must: (a) access only the information you need for your role and for the care of the Participants you support; (b) use it solely for the purpose of providing or supporting that care; (c) keep it confidential and not disclose it except as permitted by your role, your Organisation’s policies and applicable law; and (d) comply at all times with applicable data protection law and any duty of confidentiality (including medical confidentiality) that applies to you.
3.2 Where the Dashboard allows information to be downloaded or exported (for example, a PDF of a Participant’s completed measures and entries for your Organisation’s health records), you must handle downloaded material in accordance with your Organisation’s information governance policies. You must not download, copy or extract Participant information for any other purpose.
3.3 You must report any actual or suspected loss, misuse or unauthorised disclosure of Participant information immediately to your Organisation and to us at support@univa.health.
4. Clinical responsibility
4.1 The Univa Care Platform is a digital tool that supports, but does not replace, professional clinical judgement. Information presented in the Dashboard (including Participant entries, outcome measures and check-ins) is provided to inform your work; it is not medical advice, and it may be incomplete or entered in error by Participants. You and your Organisation remain responsible for all clinical decisions.
4.2 The Dashboard is not an emergency alerting service and is not monitored continuously. You must not rely on it to identify or respond to emergencies or urgent deterioration. Urgent concerns should be handled through your Organisation’s normal clinical and emergency procedures.
4.3 Responsibility for clinical risk management and safeguarding in respect of Participants sits with your Organisation. If we become aware of a risk or safeguarding concern relating to a Participant, we may refer it to your Organisation. If you identify a risk or safeguarding concern through the Dashboard, you must act on it in accordance with your Organisation’s protocols.
5. Your personal information
5.1 We process your personal information (such as your name, work contact details and Dashboard activity) to provide and secure the Dashboard, as described in our privacy notice at https://www.univa.health/privacy-policy/.
6. Intellectual property
6.1 Univa and its licensors own the Univa Care Platform, including the Dashboard, and all intellectual property rights in them. Except for the right of use set out in this Agreement, no rights in the Univa Care Platform are transferred to you. If you provide feedback or suggestions, we may use them to improve our products without obligation to you.
7. Availability, changes and updates
7.1 We work hard to keep the Dashboard available, but we do not promise that it will be uninterrupted or error-free, and we may suspend it for maintenance, security or legal reasons. Service levels for your Organisation are dealt with in our contract with your Organisation, not in this Agreement.
7.2 We may update or change the Dashboard from time to time, including to improve functionality, security and compliance.
8. Suspending or ending your access
8.1 We may suspend or end your access if: (a) you seriously or repeatedly break this Agreement; (b) we reasonably believe your account or use presents a risk to the security of the platform, to Participants or to their information; (c) your Organisation asks us to; (d) your Organisation’s contract with Univa ends or is suspended; or (e) we are required to by law. Where reasonable and lawful, we will inform you and your Organisation.
8.2 When your access ends, you must stop using the Dashboard. Your obligations under clause 3 (Patient and Carer Information) and clause 6 (Intellectual Property) continue after your access ends.
9. Our responsibility to you
9.1 Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited by law.
9.2 The Dashboard is provided to you free of charge as part of our contract with your Organisation. Subject to clause 9.1, we are not liable to you personally for any loss or damage arising from your use of, or inability to use, the Dashboard, including any business losses or losses connected with your employment or engagement; any remedies in respect of the Univa Care Platform are dealt with in our contract with your Organisation.
9.3 This Agreement does not affect any responsibilities you owe to your Organisation, to your professional regulator, or to Participants under applicable law and professional standards.
10. Changes to this Agreement
10.1 We may update this Agreement from time to time, for example to reflect changes to the Dashboard or the law. If we make material changes, we will notify you through the Dashboard or by email, and your continued use of the Dashboard after the change takes effect will constitute acceptance. If you do not accept the changes, you must stop using the Dashboard and inform your Organisation.
11. General
11.1 This Agreement is between you and Univa; it does not create any rights for anyone else, and it does not amend our contract with your Organisation. If there is any conflict between this Agreement and our contract with your Organisation, that contract prevails as between Univa and your Organisation. If any part of this Agreement is found to be unenforceable, the rest remains in effect. We may transfer our rights and obligations under this Agreement to another organisation; we will tell you if this happens.
11.2 This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.
